ENABLYS TERMS OF SERVICE

Effective Date: October 21, 2026

Last Updated: October 21, 2026

These Terms of Service (“Terms”) govern access to and use of Enablys, including the Enablys website, mobile applications, software tools, travel and event operations management features, artificial-intelligence-assisted tools, API integrations, and related services (collectively, the “Services”).

The Services are provided by Enablys LLC (“Enablys,” “we,” “us,” or “our”).

By creating an account, accepting an organizational invitation, accessing or using the Services, or authorizing transactions through the Services, you agree to these Terms. If you access or use the Services on behalf of a company, event organizer, sanctioning body, association, team, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Services.

1. Enablys and the Services

Enablys provides software applications designed to help organizations manage event operations, staffing, travel, assignments, communications, workflows, and related administrative activities.

Depending on the features enabled for an organization, Enablys may provide tools for activities including:

Features may vary based on subscription tiers, organizational permissions, geographic jurisdiction, provider availability, and software releases. Enablys reserves the right to add, modify, update, suspend, or discontinue any feature or portion of the Services as our platform evolves.

2. Organizations, Accounts, and Roles

Enablys supports individual users who interact with the platform under one or more roles, such as organization administrators, travel managers, event crew, contractors, staff, or authorized participants.

Organizational Responsibility

The customer organization is solely responsible for:

User Credentials

Users must provide accurate, complete information during registration and keep login credentials secure. You may not share account credentials or access keys in a manner that defeats individual user accountability or system security controls. You are responsible for all activity conducted through your account unless such activity results directly from Enablys’ breach of its own statutory security obligations.

3. Organization Administrators and Approvals

Users granted administrative or travel-management permissions have the ability to make operational and financial decisions affecting other users, travelers, bookings, payment methods, travel allowances, and workspace settings.

Organizations are solely responsible for designated user permissions. Any action taken by an authorized administrator or travel manager is legally binding on the organization.

Enablys may implement operational safeguards for sensitive actions, such as re-authentication requirements, multi-factor authorization, step-up approvals, or price revalidation. These safeguards exist strictly as security controls and do not shift responsibility for organizational choices or financial authorizations to Enablys.

4. Personnel, Classification, and Labor Matters

Enablys is an independent software technology platform. Unless expressly executed in a separate written commercial agreement, Enablys is not:

Organizations are strictly responsible for their employment, contractor, worker classification, payroll, wage-and-hour, tax withholding, compensation, and labor compliance obligations. If Enablys integrates with third-party payroll, contractor payment, or tax documentation providers, those services are governed by the respective third party’s independent terms.

5. Travel Services

5.1 Enablys Is Not a Travel Supplier

Enablys provides technology that allows users to search, request, review, reserve, pay for, and manage travel options. Underlying travel inventory—including flights, lodging, rental vehicles, and ground transportation—is provided by independent airlines, hotel operators, rental companies, global distribution systems (GDS), travel aggregators, and travel suppliers (“Travel Providers”).

Enablys is not an airline, hotel operator, transportation company, or travel supplier. The Travel Provider is exclusively responsible for providing the underlying travel services and fulfilling the travel itinerary.

5.2 Supplier Terms and Conditions

Travel bookings are subject to the terms, conditions, and restrictions established by the applicable Travel Provider, including fare rules, conditions of carriage, cancellation/change fees, baggage restrictions, check-in rules, and supplier privacy notices. Users and organizations are responsible for reviewing applicable Travel Provider terms prior to confirming a booking.

5.3 Prices and Availability

Travel pricing and inventory fluctuate rapidly. Displayed fares, room rates, itineraries, or availability are not guaranteed until the Travel Provider issues an official ticket or booking confirmation. Enablys reserves the right to revalidate pricing and availability immediately prior to completing a purchase. If pricing or terms change prior to fulfillment, additional organizational approval may be required.

5.4 Temporary Holds

Where supported, temporary travel holds do not constitute a completed transaction. Holds are subject to expiration, price adjustments, or cancellation by the Travel Provider without notice. Enablys is not liable for holds that expire prior to finalized payment and ticketing.

5.5 Booking Authorization

When an authorized user confirms a travel transaction through Enablys, the user represents that the purchase is authorized by the organization, traveler profile details are accurate, and the selected payment method is valid and authorized for the transaction.

5.6 Ticketing & Confirmation Status

A travel booking is not final merely because a request was submitted or payment was pre-authorized. Ticketing status depends on authoritative confirmation codes returned by the underlying Travel Provider. Enablys is not liable for fulfillment delays caused by provider system latency, out-of-order API responses, or supplier system outages.

5.7 Travel Disruptions

Enablys is not responsible for travel delays, flight cancellations, schedule changes, missed connections, denied boarding, lost baggage, hotel service failures, weather events, government restrictions, supplier insolvency, or acts of God.

6. Payment Methods and Transaction Authorizations

Organizations may store approved payment methods within their Enablys workspace to facilitate travel and operational purchases.

Enablys utilizes PCI-compliant payment gateways and travel processing partners to tokenize and process payment transactions. Enablys does not directly store raw credit card numbers or post-authorization CVV/CVC codes on its local servers.

Organizations are responsible for ensuring that all saved payment methods remain valid and authorized. Enablys does not guarantee that a card issuer, acquiring bank, or Travel Provider will approve a transaction.

7. Ambiguous or Interrupted Transactions

If network errors, API delays, or system timeouts prevent Enablys from verifying whether a travel reservation or credit card charge was successfully completed, Enablys may automatically:

Users agree not to bypass system pauses or repeatedly submit duplicate payment requests when a transaction's outcome remains pending or ambiguous.

8. Artificial Intelligence Features

Enablys may offer artificial intelligence features to assist users with administrative tasks, shift summaries, travel option evaluations, and workflow automation.

AI-generated output is provided for informational and administrative assistance only. It may be incomplete or inaccurate, and is not a substitute for human review or organizational judgment. Users remain responsible for reviewing and verifying all AI-assisted outputs involving financial commitments, travel purchases, personnel assignments, safety procedures, and legal compliance.

9. Subscription Fees and Billing

Organizations access Enablys under paid, promotional, or enterprise subscription arrangements. Applicable subscription fees, transaction charges, seat pricing, and billing terms will be detailed during checkout, in an order form, or within a commercial enterprise agreement.

All fees paid to Enablys are separate from amounts charged directly by Travel Providers or third-party fulfillment vendors. Unless stated otherwise in writing or required by law, subscription fees paid for completed service periods are non-refundable.

10. Promotions and Discounts

Enablys may offer promotional pricing, trial access, or feature fee waivers. Promotions are non-transferable, subject to stated eligibility criteria, and may expire according to their terms. Enablys reserves the right to modify or terminate future promotional offerings at any time.

11. Cancellation and Refunds

11.1 Enablys Platform Fees

Platform subscription fees and usage charges are governed by your organizational order form or commercial contract. Completed billing cycles are generally non-refundable except where mandated by statutory law or agreed in writing.

11.2 Travel Purchases

Refunds, credits, exchanges, and cancellations for underlying travel arrangements are governed strictly by the applicable Travel Provider’s rules and fare conditions. Enablys cannot override supplier fare rules or guarantee that a supplier will grant a refund or credit.

12. Data and Privacy

Our practices regarding the collection, use, disclosure, and protection of personal information are set forth in the Enablys Privacy Policy. Our use of cookies and tracking tools is governed by the Enablys Cookie Policy.

You acknowledge that providing the Services requires transmitting personal and operational data to customer organizations, cloud subprocessors, payment processors, and third-party Travel Providers as necessary to execute workflows and fulfill transactions.

13. Customer Data and Minor Information

Customer Data Ownership

As between Enablys and the customer organization, the organization retains all right, title, and interest in data submitted to or managed within the Services (“Customer Data”). The organization grants Enablys a non-exclusive, world-wide, royalty-free license to host, process, reproduce, transmit, and display Customer Data solely to provide, operate, secure, maintain, and support the Services.

Warranty and Minor Data (COPPA)

If an organization submits personal information concerning individuals under 18 years of age (including children under 13 in youth sports or educational programs), the organization represents, warrants, and covenants that it has obtained all necessary authorizations, valid legal bases, and verifiable parental consents required under applicable data protection laws, including the Children’s Online Privacy Protection Act (“COPPA”). The organization assumes full financial and legal responsibility for compliance with minor privacy consent mandates.

14. Acceptable Use Policies

You agree not to use the Services to:

Enablys reserves the right to immediately suspend or terminate access for any account engaging in fraudulent, unauthorized, or abusive practices.

15. Intellectual Property Rights

The Services—including all software code, application interfaces, visual designs, database structures, workflows, documentation, trademarks, and logos—are owned by Enablys or its licensors and are protected by intellectual property laws.

Subject to these Terms, Enablys grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for authorized organizational operations. You may not copy, modify, reverse engineer, decompile, sell, sublicense, or create derivative works from any part of the Services.

If you submit suggestions, ideas, or feedback regarding the Services, you grant Enablys a perpetual, irrevocable, royalty-free license to utilize that feedback without restriction or obligation to you.

16. Third-Party Integrations and Links

The Services may integrate with or link to third-party applications, APIs, payment gateways, travel global distribution systems, or infrastructure providers. Third-party services operate independently and are governed by their own terms and privacy notices. Enablys is not responsible for the uptime, performance, security, or practices of third-party platforms.

17. System Security and Credentials

Enablys maintains administrative, technical, and physical safeguards designed to protect platform security. However, no digital system is completely impenetrable.

Users are responsible for safeguarding their login credentials, configuring multi-factor authentication where supported, securing devices used to access the platform, and reporting any suspected security breaches or unauthorized account access immediately to websupport@enablys.com.

18. Service Availability and Maintenance

While Enablys strives for high platform availability, we do not guarantee uninterrupted, error-free operation. Access may be temporarily interrupted by scheduled maintenance, emergency updates, cloud host outages, third-party API disruptions, network failures, or force majeure events. Enablys may modify, update, or temporarily suspend system features as necessary to maintain platform security, stability, or legal compliance.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

ENABLYS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, ENABLYS DOES NOT WARRANT THAT:

  1. THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  2. TRAVEL SEARCH RESULTS OR FARES WILL REMAIN AVAILABLE OR UNCHANGED;
  3. A TRAVEL SUPPLIER WILL ISSUE A TICKET OR HONOR A RESERVATION;
  4. PAYMENT TRANSACTIONS WILL BE APPROVED BY ISSUING BANKS; OR
  5. AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR OPERATIONAL NEEDS.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENABLYS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES—INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES—ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.

ENABLYS SHALL NOT BE LIABLE FOR LOSSES, DISRUPTIONS, CANCELLATIONS, OR INJURIES CAUSED BY THIRD-PARTY AIRLINES, HOTELS, TRAVEL SUPPLIERS, PAYMENT PROCESSORS, EVENT ORGANIZERS, OR OTHER THIRD PARTIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENABLYS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  1. THE TOTAL FEES PAID BY YOUR ORGANIZATION TO ENABLYS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. $500.00 USD.

AMOUNTS PAID DIRECTLY TO AIRLINES, HOTELS, OR TRAVEL SUPPLIERS DO NOT CONSTITUTE FEES PAID TO ENABLYS FOR THE PURPOSE OF THIS CAP.

21. Indemnification

To the maximum extent permitted by law, the customer organization agrees to defend, indemnify, and hold harmless Enablys, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any third-party claims, liabilities, losses, damages, demands, fines, or expenses (including reasonable legal fees) arising out of or relating to:

22. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT GOVERNS HOW CLAIMS ARE RESOLVED.

22.1 Informal Resolution

Before initiating formal legal action, the parties agree to negotiate in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (“Dispute”). Informal dispute notices must be submitted in writing to websupport@enablys.com.

22.2 Binding Arbitration

If a Dispute is not resolved within thirty (30) days of written notice, it shall be settled by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted in Denton County, Texas, in the English language, before a single neutral arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this section.

22.3 Batch Arbitration (Mass Filing Defense)

If twenty-five (25) or more similar arbitration demands are submitted against Enablys asserting similar claims by coordinated counsel, the AAA shall administer the claims in batches of up to 50 demands per batch. A single arbitrator shall be appointed per batch to resolve claims efficiently and minimize administrative fee exposure.

22.4 Class Action & Jury Waiver

TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE PARTIES EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY.

23. Governing Law and Forum

These Terms and any Dispute arising hereunder are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. For any court proceedings permitted outside of arbitration, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Denton County, Texas.

24. Term, Suspension, and Termination

Enablys may suspend or terminate account access immediately if we reasonably suspect fraudulent activity, platform security breaches, nonpayment, or material violations of these Terms. An organization may terminate its account in accordance with its commercial contract.

Provisions that by their nature should survive termination shall survive, including Section 9 (Fees), Section 13 (Customer Data & Minors), Section 15 (IP), Section 19 (Disclaimers), Section 20 (Limitation of Liability), Section 21 (Indemnification), and Section 22 (Dispute Resolution).

25. General Provisions

Electronic Acceptance: Clicking an acceptance box, executing an order form, or accessing the Services constitutes legally binding electronic signature and acceptance of these Terms under the E-SIGN Act and UETA.

Entire Agreement: These Terms, together with applicable order forms and any separately executed written agreements between you and Enablys, constitute the entire agreement between you and Enablys regarding the Services, superseding prior oral or written agreements. The Enablys Privacy Policy and Cookie Policy describe Enablys’ data and cookie practices and are made available with these Terms, but are not incorporated into these Terms as contractual obligations except to the extent required by applicable law.

Assignment: You may not assign these Terms without Enablys’ prior written consent. Enablys may assign its rights and obligations in connection with a merger, corporate restructuring, acquisition, or asset sale.

Severability & No Waiver: If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permissible, and remaining terms will remain in full effect. Enablys’ failure to enforce any right does not constitute a waiver.
